Terms of Service

These terms apply when you use this website or engage EcomClose for services. Each client engagement will also have its own written scope (an engagement letter or proposal). If the two conflict, the engagement scope wins.

Our services

EcomClose provides bookkeeping, account reconciliations, month-end close, management reporting, and FP&A support for ecommerce businesses. Work is prepared with the help of AI tools and reviewed by a Philippine CPA before delivery.

What we don't do

EcomClose is not a US CPA firm and does not provide audit, review, or other attest services. Our deliverables are management-use financials and analysis. They are not an opinion or any other form of assurance on your financial statements, and they are not legal advice. Tax filings, if included, are limited to what your engagement scope says.

Your responsibilities

• Give us complete, accurate, and timely access to your data and accounts. Close timing assumes complete and timely access to your data.
• Answer our questions about transactions so we can categorize them correctly.
• Make the business decisions. You remain responsible for your books, financial statements, and filings.

Fees and payment

• Packages are a fixed monthly fee, billed as described in your engagement scope.
• Work outside your package is billed at $60/hr, only when you ask for it.
• Catch-up and first-time setup are quoted separately as a fixed fee.

Confidentiality and data

We keep your information confidential and handle it as described in our Privacy Policy. No client data is used to train AI models.

Ending the engagement

Either side can end a monthly engagement with written notice, as set out in your engagement scope. Fees for work already done remain payable. On request, we will hand over your records and remove our access to your systems.

Limitation of liability

To the extent the law allows, our total liability for any claim related to our services is limited to the fees you paid us for the service involved in the three months before the claim. We are not liable for indirect or consequential losses, or for errors caused by incomplete or inaccurate information provided to us.
